We advised an architecture firm to negotiate a Master Independent Contractor Agreement for Architecture and Engineering Services with a municipal district. The four-year agreement (with possible extensions) establishes the Architect as a pre-qualified provider for a range of projects, incorporating terms from the initial Request for Qualifications (RFQ). The agreement sets forth key provisions regarding standard of care, indemnification, insurance, intellectual property, dispute resolution, and limitations of liability, clarifies the Architect’s role as a provider of professional services and establishes a framework for project-specific contracts.
