We represented an owner, developer, and operator of residential, commercial, and hospitality real estate, to negotiate an AIA Document B101-2017, Agreement Between Owner and Architect, for a multifaceted adaptive reuse project in a major high-rise building. The project involves converting existing space into about 250 residential units and amenity spaces. The building houses a mix of uses, including a high-end hotel, retail, and office spaces. Negotiating this agreement presented unique challenges, including a prior architect transition that required careful navigation of intellectual property issues. The agreement had to comply with various funding sources, lenders, and existing tenant agreements. Our strategy focused on ensuring adherence to budget and schedule limitations, accessible design issues, condominium issues, mitigating potential disputes related to the architect transition, and protecting our client’s long-term flexibility to adapt the design, if needed, in the decades to come. The final agreement successfully addresses these complex issues and safeguards the significant investment of our client, its partners, and lenders.
