Bridge Rehabilitation & Infrastructure Contracts

We advised an infrastructure engineering firm on federally funded bridge rehabilitation – one of four bridges in a $140 million, four-bridge project spanning a major river bordering an international port. Our client’s segment involved design and construction budgeted at approximately $75 million.

This engagement required us to review both the prime contract with the government and the client’s subcontract with the prime contractor. From this two-way analysis, we could advise on major business terms, risk allocation, and legal protection—such as tailored indemnity and insurance provisions. We also assisted in negotiating subcontracting to ensure our client’s interests were preserved throughout.

We helped an architecture practice negotiate a subconsultant agreement for the design of a new high-end airline lounge at one of the busiest international airports in the world. Our client, as the Designer of Record, led the work from initial concept to design development, creating a “test-fit/incubator” lounge to elevate the airline’s global brand standards.

Our negotiated agreement protected confidential brand materials and created a contractual “firewall” to prevent conflicts with the prime consultant’s other airline clients.

Airport Terminal Expansion Projects

We served as a subconsultant architect on a $20 million airport terminal expansion and renovation project, which included a new passenger boarding bridge, expanded waiting areas, and renovated restrooms.

A tasks and responsibilities matrix, as an exhibit, clearly stated duties between the subconsultant and prime architect, reducing the risk of scope creep and ambiguity.

In another landside enhancement project, we assisted an architecture firm in terminal curbside expansion, vertical circulation improvements, a pedestrian walkway, and integration with the automated transit system. The contract, effective on the start of service, included basic and additional services, fee arrangements, insurance coverage, intellectual property terms, and flow-down requirements of the prime agreement with the airport authority.

High-Security Lounge Design Agreements

We also negotiated an AIA Document B101–2017, Agreement Between Owner and Architect, for a 7,000-square-foot airport business lounge in an international airport terminal. The agreement took into account the high-security environment and stringent requirements of the airport authority. Elements of design included reception, bistro, business center, restrooms, and back-of-house spaces.

Parking Facilities & Technology Upgrades

Outside airports, we acted on behalf of a property owner specializing in parking facilities on several projects. We negotiated an Owner-Contractor Agreement on one project for structural and surface repairs to a parking garage.

In a separate sector, we backed technology enhancements, including electrical and network upgrades and installation of new access and revenue control systems. We negotiated incentive-based agreements with parking consultants, marrying fixed yearly fees with performance-based compensation to align operating strategy with financial performance.
