Firm Structures Agreements for $70M Mountain Resort

Representing the architect, we prepared a comprehensive suite of design agreements for a large-scale development project within a renowned western mountain range which, when complete, is projected to involve some $70 million in hard construction costs. The agreement structure, which we conceived using an AIA Document B121–2018, Master Agreement Between Owner and Architect for Services provided under multiple Service Orders, an AIA Document B221–2018, Service Order for use with Master Agreement Between Owner and Architect, and subsequent amendments crafted with AIA Document G801-2017, Notice of Additional Services and AIA Document G802-2017, Amendments to the Professional Services Agreement, provided a flexible framework for the project’s anticipated multi-phase development. The initial phase concentrated on the design and construction of a few distinct building prototypes, serving as templates for the potential construction of dozens more buildings across the expansive development site, which enabled efficient scaling of the project. The agreement incorporates a pre-negotiated per-building intellectual property re-use fee for subsequent construction. Beyond the initial phase, the agreement stipulates hourly compensation for site-specific modifications, making sure each building harmonizes with its unique location and for construction administration services, enabling the architect’s ongoing involvement throughout the project’s lifespan.
