Architect Assignment of Construction Documents to Lender

We represented an architecture firm to negotiate lender-required assignments and consents, for a major hotel project. These collaterally assigned the owner’s rights in the construction, architectural, and engineering agreements, as well as plans, permits, and warranties, to the lender. Recognizing the need to facilitate the owner’s financing while protecting our architect client, we negotiated revisions to the documents to limit the architect’s liability exposure and ensure its payment, mechanics lien, and intellectual property rights were preserved.
