Created in response to the complexities of AIA documents like – AIA Document C106–2022, Digital Data Licensing Agreement; AIA Document E201–2022, BIM Exhibit for Sharing Models with Project Participants, where Model Versions may be enumerated as a Contract Document; AIA Document E202–2022, BIM Exhibit for Sharing Models with Project Participants, where Model Versions may NOT be enumerated as a Contract Document; AIA Document E401–2022, BIM Exhibit for Sharing Models Solely Within the Design Team; AIA Document E401–2022, BIM Exhibit for Sharing Models Solely Within the Design Team; AIA Document G203–2022, BIM Execution Plan; AIA Document G204-2022, Model Element Table (CSI UniFormat); AIA Document G205–2022, Abbreviated Model Element Table (CSI UniFormat) – this concise, three-page agreement streamlines the sharing, use, transmission and reliance on digital data for owners and architects. It defines permitted uses, responsibilities, and liabilities, protecting intellectual property rights. Unlike cumbersome, multi-document processes, this agreement consolidates key provisions and clarifies that file sharing is for reference only, not ownership transfer. Requiring signatures from the architect, owner, and co-licensee (usually a contractor) to ensure transparency and shared understanding, especially when the architect lacks a direct contract with the co-licensee. This empowers architects to share work confidently, knowing their intellectual property rights, and those of their owner clients, are protected and that terms of use are clear.
