We represented an architecture firm to negotiate an agreement for professional services with a non-profit organization dedicated to supporting a major metropolitan zoo. The project involved design challenges, requiring careful consideration of existing infrastructure and the zoo’s operational needs. The zoo insisted on using its standard vendor agreement, which lacked critical provisions necessary to protect a design professional. To address this, we prepared a comprehensive rider that effectively transformed the vendor agreement into a more appropriate architectural services contract.
