License Agreement for Mountain Project Transition

We prepared a tripartite license and release agreement to facilitate a smooth and friendly transition for our architecture firm client from a residential project in the Mountain West. The agreement granted a non-exclusive license to the new property owner licensee to use the architect’s final construction documents for the project, while preserving the architect’s copyright and other ownership interests. It included provisions protecting the architect from liability for any changes made to the documents by the licensee or subsequent design professionals. Specifically, it required that any changes be reviewed, stamped, and sealed by a licensed architect and that all references to the original architect be removed from the documents before further use.
