Tiered Contract Support for Developer’s Massive Industrial Campus

Representing a privately held national real estate investment and development firm with a significant portfolio specializing in industrial properties, we provided tiered contractual support for the redevelopment of a 65-acre, about 850,000 sq ft, multiple-building manufacturing and distribution campus. The project involves the renovation of a 90,000 sq ft vacant building, the development of a new 240,000 sq ft warehouse/distribution center, and the future construction of a 330,000 sq ft high-tech manufacturing and distribution building on excess land. Our work began with negotiating initial letters of intent for immediate, preliminary tasks, followed by AIA documents for initial demolition and minor construction work. We also negotiated a non-AIA ‘short form’ professional services agreement for early-stage architectural and engineering services, including the renovation and conversion of an existing building into flex space. For the more significant design elements, we drafted a custom Owner-Architect Agreement and Owner-Civil Engineer Agreement, addressing the owner’s obligations to investors, equity partners, and lenders concerning payment and insurance, while ensuring compliance with local jurisdictional laws. We anticipate negotiating the more substantial Owner-Contractor Agreements for the primary development work soon.
