We developed a comprehensive contracting strategy for a design firm offering a diverse range of services – from architecture to design-build, to interior design, to serving as purchasing agent for furniture, furnishings, and equipment (FF&E), and construction management – and needed contracts for all of it. Our approach involved a tailored suite of AIA and non-AIA Owner-Architect Agreement and Architect-Consultant Agreement templates to address the complexities of the firm’s various project types and delivery methods. Included was a digital data licensing agreement, a simple yet effective template to protect the client from liabilities associated with the use, transmission, and reliance on digital data, Building Information Model (BIM) Model Elements, and Revit files. We also refined the client’s approach to proposal writing, mitigating risk by eliminating language that could lead to disputes or limit insurance coverage. This contracting strategy empowers the firm to navigate its varied projects with confidence and efficiency and has been successfully implemented on dozens of projects.
